TriageLogic Management LLC API License Agreement

This API License Agreement ("Agreement") is made between TriageLogic Management LLC ("TriageLogic") and the user of TriageLogic APIs ("Licensee").

1. API Access

  • TriageLogic grants Licensee a non-exclusive, non-transferable, revocable license to access and use the TriageLogic APIs (the "APIs") as specified in the applicable API documentation.
  • Licensee may use the APIs only for the internal purposes of Licensee's business.

2. Restrictions

  • Licensee will not modify, reverse engineer, or decompile the APIs.
  • Licensee will not redistribute, resell, or sublicense the APIs.
  • Licensee will not use the APIs in any way that violates applicable law or that could damage or impair TriageLogic's systems or reputation.

3. API Usage

  • TriageLogic may establish rate limits, usage quotas, or other restrictions on Licensee's use of the APIs. TriageLogic will use reasonable efforts to notify Licensee of any significant changes.
  • TriageLogic may change or discontinue the APIs at any time, with or without notice to Licensee.

4. Fees

  • TriageLogic is currently providing access to the APIs without charge. TriageLogic reserves the right to implement fees for API usage in the future, with reasonable notice to Licensee.

5. Intellectual Property

  • TriageLogic owns all intellectual property rights in the APIs. This Agreement does not grant Licensee any ownership rights in the APIs.

6. Disclaimer of Warranties

  • THE APIS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TRIAGELOGIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of Liability

  • IN NO EVENT SHALL TRIAGELOGIC BE LIABLE FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR OTHER SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THIS AGREEMENT OR THE USE OF THE APIS, EVEN IF TRIAGELOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

  • TriageLogic may terminate this Agreement at any time, with or without cause.
  • Upon termination, Licensee must immediately cease using the APIs.

9. Governing Law

  • This Agreement shall be governed by the laws of the State of Florida.

10. Entire Agreement

  • This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior communications or agreements.
